Terms of Service

Service Owner. This website and the ORUS LOGISTICS platform are owned by VIRGIN MARKET S.L.U. (hereinafter, “VIRGIN”), Tax ID B72458227, with registered office at Camino de Adra, nº 5, 04700 El Ejido (Almería), registered in the Commercial Registry of Almería, Volume 2216, Folio 213, Section 8, Sheet AL 55400, Entry 1 (27.09.22). B2B Scope. The service is primarily aimed at transport companies and professionals (the “CLIENT”). By registering, creating an account, or using the platform, you declare that you have read and accepted these Terms and Conditions by checking the box (“I accept the Terms and Conditions”) and/or through the continued use of the platform.

1) Purpose of the Service

VIRGIN provides the CLIENT with access to and use of the ORUS LOGISTICS® application, which facilitates communication and shipment tracking between shipper and consignee during transport. This includes technical support during VIRGIN’s business hours and updates. The application is an auxiliary tool and does not replace human work; the CLIENT must verify and supervise the results of its use.

2) Accounts, Users, and Subscriptions

Each access is linked to a user/email. The CLIENT shall indicate the required number of subscriptions (non-transferable). Shippers and consignees may access information related to their shipments. The shipper enters the data for each shipment, and the carrier records operational milestones (route start, ETA, incidents, documentation, etc.). The CLIENT is responsible for safeguarding credentials, maintaining basic cybersecurity measures (firewall, antivirus, access control), and reporting security incidents.

3) Availability, Maintenance, and Support

The service is provided 24/7/365, with possible interruptions due to maintenance, updates, third-party incidents (telecommunications, network), or force majeure. VIRGIN will endeavor to carry these out outside business hours and notify in advance whenever possible (minimum notice of 48h where feasible). Support is provided during VIRGIN’s business hours through the designated channels.

4) Duration, Renewal, and No Commitment

The Contract enters into force when VIRGIN registers the CLIENT and the CLIENT activates their account. It has an automatic monthly renewal and no minimum commitment. To avoid renewal for the following month, the CLIENT must communicate termination at least one (1) month in advance. Termination will take effect at the end of the current billing period.

5) Pricing, Billing, and Payment Method

  • Free trial: 30 calendar days from first use.
  • Monthly fee: €14.99 + VAT per subscription, with volume discounts:
    • 50–100 subscriptions: 5%
    • 101–200 subscriptions: 10%
    • 201 or more subscriptions: 15%
  • Billing: monthly in arrears; payment by SEPA direct debit.
  • Price review: VIRGIN may review and adjust fees (e.g., based on CPI or other objective criteria) with at least 30 days’ prior notice. Any change will only apply from the next billing period onwards. If the CLIENT does not accept the new fee, they may terminate without penalty, effective at the end of the current billing period, by notifying prior to the effective date of the change.
  • Taxes: prices are understood as exclusive of taxes, which will be applied according to current regulations.

6) Non-Payment: Suspension, Interest, and Costs

In case of total or partial non-payment of any invoice, VIRGIN may temporarily suspend the CLIENT’s access to the platform until payment is regularized and, where applicable, terminate the contract in accordance with the law. All collection management costs (late payment interest, bank fees, and legal fees) will be borne by the CLIENT. Interest will accrue in accordance with Law 3/2004 on combating late payment, or applicable regulations. Once payment has been regularized, VIRGIN will reactivate the service within a reasonable timeframe.

7) Permitted Use and Prohibitions

Resale or redistribution of the service is prohibited, as well as claiming intellectual property rights over it (whether modified or not). The CLIENT agrees to use the service in accordance with the law and VIRGIN’s instructions, and not to engage in abusive practices, large-scale scraping, attempts to bypass access controls, or uses contrary to the purpose of the service.

8) Intellectual Property and License of Use

The CLIENT acknowledges that all intellectual and industrial property rights over the ORUS LOGISTICS® platform, its source code, architecture, design, interfaces, documentation, and functionalities belong exclusively to VIRGIN or its licensors.

This contract does not involve the transfer of intellectual property rights; the CLIENT is granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the platform during the term of the contract, exclusively for their business activity. Reverse engineering, decompilation, modification, scraping, and any commercial exploitation outside the scope of the contract are prohibited.
